i checked the directory as you suggested and it is set right

In my experience, that means that it cannot find a directory in Content Manager (or subdirectories of those directories) that it can append "/Scripts/RiverSoft Art/Character Converter/Character Converter G8F to G3F.dse" and find the actual file. I am at a loss. I can understand if you don't want to give full directories on the forums. Could you PM me the paths in Content Manager? Plus the full path where Character Converter.dse resides?

However, I'm still getting the broken wobbly irises with the XTransfer script. After checking with Zev0, the consensus is that there must be something left over from your Character Converter script. I believe I deleted all the files that were generated when I transfered the base Darius 7 with your script...is there any place specific I need to double-check? Can you load the characters yourself (i.e., not the script) It sounds like you might have the same problems with DS finding the characters as with the script.
oh yes, i can load characters..without the script...and using the convert scene, where you have to load the character and Genesis 3...gives no problems

Ok, that helps. What is the exact error? I think you are getting a Genesis *8* Male not found. At a certain point in the conversion process, the script tries to load the generic Genesis 8 Basic Male.duf, which it thinks is at "People/Genesis 8 Male/Genesis 8 Basic Male.duf". Luckily, I think we can get around whatever gremlins are on your system for this one.
Open data/RiverSoft Art/Common/RSCharacterConversionConstants.dsa with a text editor.
Change sNewFigurePreset to be where your male character is.

Ok, we are in the "Character Converter from Genesis 3 Male to Genesis 8 Male" thread, but I think you are running "Character Converter from Genesis 8 Female to Genesis 3 Female"? Then your error makes more sense about Genesis 3 not loading. Adapting the instructions from before:
Open data/RiverSoft Art/Common/RSG8G3CharacterConversionConstants.dsa with a text editor.
Change sNewFigurePreset to be where your Genesis 3 Basic Female is. Currently, it equals 'People/%1 %2/', where %1 is replaced with "Genesis 3" and %2 is replaced with "Female" by the script. Let's fully enumerate the path like so (if this is right): "H:/3d/PoserFiles/Daz Studio/People/%1/%2"

and placed all the files in it...hit refresh in Daz Studio, and it worked

Sigh. I think that means that the loading the character is failing. If you check the DAZ log (not the one in the dialog), you should see:
